DOMINAIT.AI Terms & Conditions

1. Introduction

Welcome to DOMINAIT.AI (the “Platform”), a service owned and operated by Jason Criddle & Associates. These Terms and Conditions (the “Terms”) govern your access to and use of all services, software, hardware, websites, and applications (the “Service”) provided by DOMINAIT.AI. By registering for, accessing, or using our Service, you agree to these Terms. If you do not accept these Terms, you may not access or use the Platform.

DOMINAIT.AI integrates and works in conjunction with SmartrCommerce and SmartrHoldings for all cash or fiat-based transactions, including payments for software, hardware, and subscriptions. Use of these features is also subject to SmartrCommerce and SmartrHoldings’ respective terms and policies, which are incorporated by reference.

2. Eligibility and User Accounts

  • You must be at least 13 years old, or the minimum age required by your jurisdiction, to use the Platform.
  • If you register an account, you must provide accurate, complete, and up-to-date information at all times.
  • You are responsible for maintaining the confidentiality and security of your account credentials. You agree to notify us immediately of any unauthorized use or breach of your account.
  • Accounts are personal. You may not transfer, sell, or assign your account or access credentials to any third party without our written consent.

3. Acceptable Use and Restrictions

You agree to use the Service only for lawful, authorized purposes, and in accordance with these Terms.

You may not:

  • Use the Platform to engage in unlawful, fraudulent, abusive, harassing, defamatory, or otherwise objectionable behavior.
  • Reverse-engineer, decompile, disassemble, or attempt to derive source code from the Platform or any associated software or models.
  • Interfere with, disrupt, or compromise the security or integrity of our systems, networks, or other users.
  • Access, use, or attempt to access or use any part of the Platform that you are not authorized to access.
  • Copy, modify, adapt, translate, or create derivative works based on the Platform without explicit written permission.
  • Scrape, crawl, or use automated systems to extract data from the Platform, except as explicitly permitted by written agreement.
  • Use the Service to train competing AI models or platforms.
  • We reserve the right to suspend or terminate any account that violates these provisions.

4. Fees, Payments, and Refunds

  • Certain features of the Platform require payment of fees, including but not limited to subscriptions, hardware purchases, compute credits, or other paid services.
  • All fiat/cash transactions are processed through SmartrCommerce and/or SmartrHoldings, subject to their payment processing terms, security, and refund policies.
  • You are responsible for providing current and accurate payment information. Failure to pay required fees may result in suspension or termination of your access to paid features.
  • Unless otherwise stated, all fees are non-refundable except as expressly stated in our or SmartrCommerce/SmartrHoldings’ refund policy.

5. Intellectual Property Rights

  • All intellectual property rights in and to the Platform, including software, models, text, graphics, user interfaces, trademarks, logos, and all content (except user-generated content), are owned by Jason Criddle & Associates or its licensors.
  • You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely as permitted by these Terms.
  • You may not use our trademarks, logos, or branding without our prior written consent.

6. User Content and Data

  • You retain all rights to content, data, and materials you submit, upload, or generate on the Platform (“User Content”).
  • By using the Service, you grant DOMINAIT.AI a worldwide, royalty-free, sublicensable license to use, display, process, and, where necessary, store your User Content solely for the purpose of operating and improving the Service.
  • You are responsible for ensuring that your User Content does not violate the rights of any third party or any applicable law.
  • We reserve the right, but not the obligation, to review, remove, or restrict any User Content at our sole discretion.

7. Privacy and Data Collection

  • Your use of the Service is subject to our Privacy Policy and Data Collection Policy, which explain how we collect, use, and protect your information.
  • By using the Service, you consent to the collection and use of information as described in those policies.
  • For cash or fiat-based transactions, certain information may be shared with SmartrCommerce or SmartrHoldings to process your payment securely. Please review their privacy and data handling practices.

8. Third-Party Services and Integrations

  • The Platform may contain links to, or integrate with, third-party services, APIs, or websites. DOMINAIT.AI is not responsible for the content, functionality, or privacy practices of these third parties.
  • Your use of third-party services is subject to those parties’ terms and conditions and privacy policies.

9. Disclaimers and Limitation of Liability

  • The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.
  • Jason Criddle & Associates, DOMINAIT.AI, SmartrCommerce, and SmartrHoldings shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, data, or use arising out of or related to your use or inability to use the Service.
  • Our total liability for any claim related to the Service will not exceed the total amount you have paid us for the Service in the preceding 12 months, to the extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jason Criddle & Associates, DOMINAIT.AI, SmartrCommerce, and SmartrHoldings, and their respective directors, officers, employees, affiliates, and agents, from any claim, demand, or damages (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, violation of these Terms, or infringement of any third party’s rights.

11. Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account or access to any part of the Platform at any time for violation of these Terms or for any reason at our sole discretion.

Upon termination, your right to access the Service will cease immediately. Certain provisions of these Terms will survive termination, including those related to ownership, indemnity, disclaimers, and limitation of liability.

12. Changes to Terms

  • We may update these Terms from time to time. We will provide advance notice of material changes (via the Platform, email, or other reasonable means).
  • Your continued use of the Service after any such changes means you accept the new Terms.

13. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws principles.
  • Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, or by binding arbitration in Dallas, Texas, at our discretion.

14. Miscellaneous

  • These Terms constitute the entire agreement between you and Jason Criddle & Associates regarding your use of the Platform, superseding any prior agreements.
  • If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
